These Terms of Service constitute a legally binding agreement between you (“you” or “Customer”) and Witnessly LLC, a New York limited liability company (“Witnessly,” “we,” “us,” or “our”).
By accessing or using the Witnessly website, mobile application, or related services, you acknowledge that you have read, understood, and agree to be bound by these Terms and Witnessly’s Privacy Policy. If you do not agree, you must not use the Service.
You must be at least eighteen (18) years of age and have the authority to enter into this agreement on behalf of yourself or the entity you represent.
Witnessly is a technology-enabled platform that allows customers to search for, view, and connect with independent forensic engineers, technical consultants, subject matter experts, and expert witnesses (“Service Providers”).
Witnessly does not provide legal, engineering, forensic, or expert services, does not supervise or control Service Providers, and is not a party to any engagement or service agreement.
Any engagement of a Service Provider occurs solely under a separate agreement between you and the Service Provider.
To access certain features, you must create and maintain an account and provide accurate, current, and complete information.
You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.
Witnessly may suspend or terminate accounts at its discretion for violations of these Terms or for inactivity.
You agree to use the Service solely for lawful and professional purposes.
You may not misrepresent your identity, misuse contact information, interfere with platform operations, upload unlawful or infringing content, or use the Service for solicitation outside its intended purpose.
Witnessly reserves the right to investigate violations and take appropriate action, including suspension or termination.
Service Provider profiles and materials are provided for informational and professional discovery purposes only.
Witnessly does not independently verify, certify, or guarantee the accuracy, completeness, or suitability of Service Provider information.
You are solely responsible for conducting your own diligence and selection before engaging any Service Provider.
Witnessly may offer features that allow you to submit project requests to identify potentially interested Service Providers.
Witnessly does not guarantee responses, selection, engagement, completion, fees, or results.
Witnessly’s role is limited to facilitating introductions and information exchange.
At its discretion, Witnessly may offer informal, non-binding mediation or advisory assistance.
Such assistance does not constitute legal advice and does not create an attorney-client, fiduciary, or expert relationship.
Witnessly is not responsible for the resolution or outcome of any dispute.
Witnessly may offer free or paid features now or in the future. Fees will be disclosed prior to use.
Witnessly reserves the right to modify pricing or features with notice.
You retain ownership of content you submit.
By submitting content, you grant Witnessly a limited license to use it solely for operating and improving the Service.
Personal information is handled in accordance with Witnessly’s Privacy Policy.
To the maximum extent permitted by law, Witnessly shall not be liable for indirect, incidental, consequential, special, or punitive damages, loss of profits, data, or business opportunities.
Witnessly’s total liability shall not exceed the fees paid by you to Witnessly in the twelve (12) months preceding the claim.
You agree to indemnify, defend, and hold harmless Witnessly from claims arising from your use of the Service or violation of these Terms.
You may terminate your account at any time by contacting info@witnessly.com.
Witnessly may suspend or terminate access at any time for violations, suspected misuse, or legal compliance reasons.
These Terms are governed by the laws of the State of New York.
Exclusive venue lies in the state or federal courts located in New York.
For claims under $10,000 USD, either party may elect binding arbitration administered by the American Arbitration Association in New York.
These Terms constitute the entire agreement regarding the Service.
Witnessly may assign these Terms without notice.
By using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms.
